Terms of Service

The terms governing use of this website and the supply of goods and services by Synaxis Systems Limited.

Agreement to these terms

These terms govern your use of this website and, where referenced, the supply of goods and services by Synaxis Systems Limited. By using this website you accept these terms.

Individual engagements are additionally governed by the quotation, scope of work, service agreement or contract signed for that engagement. Where those documents conflict with these terms, the signed engagement document prevails.

Website content

Information on this website describes our capabilities and is provided for general guidance. Specifications, availability, lead times and pricing change, and nothing on this website constitutes a binding offer.

A binding commitment arises only from a written quotation or contract issued by Synaxis and accepted by the client.

Quotations and pricing

  • Quotations are valid for the period stated on the document, and where no period is stated, for fourteen days.
  • Pricing is subject to supplier availability, exchange-rate movement and applicable statutory taxes and duties.
  • Lead times are estimates based on supplier advice at the date of quotation.
  • Orders are confirmed on receipt of written acceptance and any agreed deposit.

Supply of equipment

Equipment is supplied against the specification stated in the accepted quotation. Where a specified item becomes unavailable, we will propose an equivalent or better alternative for approval before substitution.

Risk in goods passes on delivery. Title passes on receipt of payment in full.

Software licences

All software supplied by Synaxis is genuine and licensed. Use of that software is governed by the licence terms of the relevant publisher, which the client accepts on activation.

It is the client’s responsibility to ensure licence counts remain accurate as staff numbers and device counts change. We provide renewal tracking where a support agreement includes it.

Installation and project delivery

Installation and project work is delivered to the scope, sequence and assumptions recorded in the accepted quotation or statement of work.

Client-side dependencies — site access, power, structural work, third-party approvals and timely decisions — affect delivery dates. Where they are delayed, timelines are adjusted by agreement.

Support services

Support agreements specify the sites covered, hours of cover, response commitments and exclusions. Response times refer to the time taken to begin work on a logged fault, not to resolve it, as resolution time depends on the nature of the fault and on parts availability.

Work outside an agreed scope, and attendance caused by third-party interference or unauthorised changes, is chargeable at prevailing rates.

Audit and assessment work

IT audits, vulnerability assessments and risk reviews reflect the state of the environment at the time of assessment, based on the access and information made available to us.

Reports are prepared for the commissioning organisation and may not be relied upon by third parties without our written consent. Implementing recommendations remains the client’s decision.

Payment terms

  • Invoices are payable within the period stated on the invoice.
  • Equipment orders may require a deposit or payment in advance where supplier terms demand it.
  • Support agreements are invoiced periodically in advance unless otherwise agreed.
  • Overdue accounts may result in suspension of service after written notice.

Warranties

Hardware carries the manufacturer’s warranty for the period stated at the point of sale, and we administer warranty claims on the client’s behalf. Installation workmanship is warranted for the period stated in the relevant quotation.

Warranties exclude damage from misuse, unauthorised modification, power irregularities outside supplied protection, and environmental conditions outside manufacturer tolerances.

Confidentiality

Each party will keep confidential the technical, commercial and operational information of the other disclosed in the course of an engagement, and will use it only for the purpose of that engagement.

Intellectual property

Custom software developed for a client is licensed or assigned as set out in the relevant development agreement. Tools, libraries, frameworks and methodologies used to build it remain the property of Synaxis or their respective owners.

Website content, branding and documentation produced by Synaxis remain our property unless expressly transferred in writing.

Limitation of liability

To the extent permitted by Zambian law, our aggregate liability arising from an engagement is limited to the value of the fees paid for that engagement. We are not liable for indirect or consequential loss, including loss of profit, revenue or data, except where such loss results from our gross negligence or wilful misconduct.

Nothing in these terms limits liability that cannot lawfully be limited.

Governing law

These terms and any engagement with Synaxis are governed by the laws of the Republic of Zambia, and the parties submit to the jurisdiction of the Zambian courts. The parties will first attempt to resolve any dispute in good faith through discussion between senior representatives.
